The following terms and conditions (collectively, these "Terms of Use") are a binding legal agreement between you and PopReel, its subsidiaries and affiliated companies ("PopReel" or "we") that govern your use of: (i) the website located at https://popreel.io (the "Site"), including all services, features and content accessible or downloadable from the Site, and (ii) any other PopReel application (including mobile applications), service or product licensed, downloaded or otherwise accessed by you through third party websites or sources (i) and (ii) collectively, the "Service". The Service is strictly for consumers and not for use by users under 13 years of age. Please also review our Privacy Policy at https://popreel.io/support/privacy-policy which tells you how we use your personal information. We recommend that you print a copy of these Terms of Use for future reference.

A. Your Acceptance of the Terms of Use

Please carefully read these Terms of Use, which affect your legal rights and obligations. These Terms of Use tell you who we are, how we will provide you the Service, how you and we may change or end this contract, what to do if there is a problem and other important information. By registering for a user account which enables you to use the Service and/or by posting online content ("Account") or otherwise using the Service, you represent that (1) you are age 13 or older (16 or older in the European Union/European Economic Area), (2) you fully understand and agree to these Terms of Use, and (3) if you are below the ages of 13 older (16 older in the European Union/European Economic Area), your legal guardian has reviewed and agreed to these Terms of Use. IF YOU DO NOT UNDERSTAND OR DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE SERVICE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICE. USE OF THE SERVICE IS VOID WHERE PROHIBITED.

PopReel reserves all rights to change or modify these Terms of Use at any time at its sole discretion. Any such change or modification will be effective immediately upon posting on the Site or mobile application, and your continued use of the Service after any changes or modifications to these Terms of Use are posted will constitute your acceptance of and agreement to such changes or modifications. Every time you wish to use our Service, please check the Terms of Use to ensure you understand what terms apply at that time. If you object to any change or modification, your sole recourse shall be to cease using the Service. YOU AGREE THAT PopReel SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY CHANGE OR MODIFICATION TO THESE TERMS OF USE. Except as may be expressly specified otherwise by PopReel with respect to paid portions of the Service, PopReel reserves the right to add, change, suspend or discontinue the Service, or any aspect or feature of the Service, to reflect changes to our products, our users' needs and/or our business priorities, without notice and liability.

C. Relationship to Other Agreements

Your use of the Service or portions of the Service may also be subject to the terms and conditions of one or more related third party agreements ("Third Party Agreements"), such as agreements governing your download of or access to applications that are part of the Service by means of a third party website or source (e.g. Google; Apple). In the case of any conflict between any Third Party Agreement and these Terms of Use with respect to PopReel or any aspect of the Service, these Terms of Use will control.

D. User Accounts

Upon registering an Account with us you also may be required to provide information about yourself in order to use the Service. You agree to: (i) provide true, accurate, current and complete information about yourself as prompted by the Service and (ii) maintain and promptly update such data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, incomplete or not current, you are deemed to be in breach of these Terms of Use, and PopReel has the right to suspend or terminate your Account and refuse any and all current or future use of the Service by you. Each user of the Service is allowed a maximum of one Account per electronic device embedding a mobile operating system ("Device"). You may not sell, trade, or otherwise transfer or assign your Account to another party, except as expressly provided herein.

E. Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or PopReel cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting PopReel customer support team.

A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide PopReel with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize PopReel to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, PopReel will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

F. End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you and PopReel.

This EULA agreement governs your acquisition and use of our PopReel application ("Application") directly from PopReel or indirectly through a PopReel authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the PopReel application. It provides a license to use the PopReel application and contains warranty information and liability disclaimers.

By clicking "accept" or installing and/or using the PopReel application, you are confirming your acceptance of the Application and agreeing to become bound by the terms of this EULA agreement.

This EULA agreement shall apply only to the Application supplied by PopReel herewith regardless of whether other software is referred to or described herein. The terms also apply to any PopReel updates, supplements, Internet-based services, and support services for the Application, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

PopReel hereby grants you a personal, non-transferable, non-exclusive licence to use the PopReel application on your devices in accordance with the terms of this EULA agreement.

You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Application nor permit the whole or any part of the Application to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Application or attempt to do any such things
• Reproduce, copy, distribute, resell or otherwise use the Application for any commercial purpose
• Allow any third party to use the Application on behalf of or for the benefit of any third party
• Use the Application in any way which breaches any applicable local, national or international law
• use the Application for any purpose that PopReel considers is a breach of this EULA agreement

G. Limitation of Liability

In no event shall PopReel, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of this application whether such liability is under contract. PopReel, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this application.

G. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of Kosovo, and you submit to the non-exclusive jurisdiction of the state and federal courts located in the Republic of Kosovo for the resolution of any disputes.
